NPC SCOTLAND - WORKING CONSTITUTION 

1.   NAME

The name of the organisation shall be NPC Scotland. 

  1. OBJECTIVES

The objectives of NPC Scotland shall be:

(a)   To promote and campaign for the National Pensioners Convention?s (NPC) policies as a non-party political campaigning organisation that seeks to improve the living standards and welfare of all pensioners.

(b)   To provide a co-ordinating organisation whereby all pensioner groups within Scotland who support the NPC can unite in voluntary activity to further the aims of the organisation. 

  1. STRUCTURE

(a) NPC Scotland shall consist of affiliated organisations, such as local pensioner groups, forums and retired associations of trade unions.

(b) NPC Scotland shall be governed by a Council comprised of delegates from affiliated organisations and an Executive Committee and officers elected at the Annual General Meeting. 

  1. REPRESENTATION

(a) Organisations affiliated to NPC Scotland shall be allowed representation on the Council on the basis of TWO delegates for the first 500 members or part thereof, THREE delegates on the basis of 501 to 2500 members and FOUR delegates on the basis of 2501 or more members. 

  1. CONTRIBUTIONS

(a) Each affiliated organisation shall pay a minimum annual fee, based on membership, of ?10 for membership up to 500, ?15 for membership of 501 to 2500 and ?20 for membership of 2501 and over.  

  1. MEETINGS

(a) The Council shall ordinarily meet quarterly.

(b) The Executive Committee shall ordinarily meet every two months to transact business as decided by the previous Council and to prepare recommendations for the next Council meeting. 

  1. QUORUM

(a) The quorum for the Council shall be TEN members, at least TWO of which shall be officers.

(b) The quorum for the Executive Committee shall be FOUR members. 

  1. ANNUAL GENERAL MEETING

(a) The Annual General Meeting of NPC Scotland shall take place in [to be completed] each year.

(b) The following officers and Executive Committee members shall

be elected at the Annual General Meeting:

Chair                                                   Secretary

Treasurer                                           Vice Chair

Ten Committee Members

(c)   The Annual General Meeting shall also elect ONE delegate to the NPC Executive Committee and up to THREE delegates to the NPC National Council. 

9.   AMENDMENTS TO THE CONSTITUTION

(a)   This Constitution may not be amended except at an Annual General Meeting or an Extraordinary General Meeting called explicitly for that purpose. 

     10. DISSOLUTION

(a) If at anytime the dissolution of NPC Scotland is called for and carried by
a two thirds majority of those present at the Council, then a Special General Meeting shall be called. The proposal to dissolve a Special General Meeting may be carried by a two thirds majority of those present at the Special general Meeting.

(b) In the event that the proposal to dissolve NPC Scotland is carried, then the Special General Meeting may make all necessary decisions regarding the disposal of any remaining funds and assets.
